Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” the “Account Holder,” or “Customer”) and Godelivr Technologies Inc (“godelivr,” “we,” “us,” or “our”), governing your access to and use of the godelivr website, application, and related services (the “Service”).

By creating an account, starting a free trial, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are agreeing on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business.

godelivr is a delivery route planning and optimization service for last-mile delivery operations. The Service lets an Account Holder:

• Build a customer and driver roster manually or via CSV import.
• Auto-generate optimized, multi-stop delivery routes.
• View all active routes and drivers on a single live map.
• Track delivery progress in real time as drivers work through their stops.
• Share each route with a driver as a private link — no driver account, app install, or login required.

Some features referenced on our marketing pages, such as Square order sync, may be labeled “coming soon” and are not yet part of the Service. We may add, change, or remove features at any time.

The Service is offered for business use and is not directed at consumers. You must be at least 18 years old and able to form a binding contract to create an account.

You are responsible for the accuracy of the information in your account, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us immediately at support@godelivr.com if you suspect unauthorized use of your account.

Paid plans, current pricing, and free-trial terms are described on our pricing page. Subscription payments are processed by Stripe; we do not store your full card number.

• Subscriptions renew automatically for successive billing periods until cancelled.
• You may cancel at any time from your account settings; access continues until the end of the current billing period.
• Fees are non-refundable except where required by law or stated otherwise at signup.
• A free trial, where offered, converts to a paid subscription at the end of the trial unless you cancel before it ends.
• We may change our pricing or plan features prospectively, with reasonable advance notice for existing subscribers.

As part of using the Service, you will typically upload personal data about your own customers and drivers — for example, names, phone numbers, email addresses, and delivery or pickup addresses — either manually or via CSV import (“Customer Data”).

You represent and warrant that you have the legal right and any required consent to provide us with Customer Data, and that your collection and use of it complies with applicable law. As between you and us, you remain responsible for Customer Data and for responding to requests from your customers or drivers about their own information; we process it on your behalf as described in our Privacy Policy.

You agree not to:

• Upload Customer Data you do not have the right to share with us.
• Use the Service for any unlawful purpose.
• Attempt to probe, scan, or bypass the security or rate limits of the Service, or access accounts or data that are not yours.
• Reverse engineer, decompile, or resell the Service except as expressly permitted.
• Use the Service to send unsolicited communications to drivers or customers who have not agreed to receive them.
• Interfere with or disrupt the integrity or performance of the Service or the data it contains.

Driver route links are unauthenticated by design — anyone with the link can view the route it points to, which is what lets drivers start working without an account. You are responsible for sharing each route link only with its intended driver and for treating the link as sensitive once it contains customer information.

Route links may expire or be rotated automatically once a route is completed or after a period of inactivity.

The Service relies on third-party providers to function, including payment processing (Stripe), geocoding and mapping (Google), and route optimization infrastructure. A Square integration for order sync is planned but not yet available. These providers have their own terms and privacy practices, and we are not responsible for their acts or omissions.

We own the Service, including its software, design, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You retain ownership of the Customer Data you upload.

We aim to keep the Service available and accurate, but routing suggestions, estimated arrival times, and geocoded addresses depend on third-party map and traffic data and may be incomplete or wrong. The Service is provided on a best-effort basis without an uptime guarantee, and we may perform maintenance that temporarily affects availability.

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, including the Acceptable Use section, or if required by law. On termination, your right to access the Service ends; we handle any retained Customer Data as described in our Privacy Policy.

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GODELIVR TECHNOLOGIES INC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.

We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify you by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
